# Terms & Conditions – MerchSignal

## 1. Overview

MerchSignal (“we”, “us”, “our”) provides an online software-as-a-service platform and related tools for print-on-demand sellers, with a focus on Amazon Merch on Demand (the “Service”).

By creating an account, subscribing, or using the Service in any way, you agree to these Terms & Conditions (“Terms”). If you do not agree, please do not use the Service.

MerchSignal is a **digital-only service**: we do not sell or ship physical goods. Access is provided through our website and browser extension.

## 2. Billing, payment & subscriptions

### 2.1 Payment providers

We do not process card data directly. Instead, we use third-party payment providers such as **Paysera**, **Paddle / Lemon Squeezy**, and/or **PayPal** (collectively, “Payment Processors”) to collect subscription payments on our behalf.

By completing a purchase, you also agree to the terms and privacy policy of the relevant Payment Processor. Billing descriptors on your bank or card statement may show the name of that provider (for example, “Paddle.net MerchSignal”, “Paysera”, or similar).

### 2.2 Authorization

You authorize us and/or the Payment Processors to charge your chosen payment method for:

– recurring subscription fees,
– upgrades or add-ons you select,
– applicable taxes and charges.

You confirm that you are authorized to use the payment method you provide.

### 2.3 Auto-renewal

Paid subscriptions automatically renew at the end of each billing period (for example, monthly or yearly) unless you cancel before the renewal date. The price and billing interval are clearly indicated on the pricing and checkout pages.

### 2.4 Trials and promotions

From time to time we may offer free or discounted trials. Unless otherwise stated:

– trials run for the period shown at signup, and
– at the end of the trial, the subscription continues at the regular price unless you cancel before the trial ends.

We may change or discontinue promotional offers at any time.

### 2.5 Cancellation

You can cancel your subscription at any time from your account page:

When you cancel:

– your subscription will not renew again,
– you will keep access until the end of the already-paid period, and
– we generally do **not** provide pro-rata refunds for unused time, except where required by law or described in our Refund Policy.

Please include your account email and the payment reference from your Payment Processor so we can locate your subscription quickly.

## 3. Acceptable use & intellectual property

### 3.1 Acceptable use

You agree **not** to:

– use the Service for unlawful, fraudulent, or abusive purposes;
– attempt to bypass usage limits, licensing, or security measures;
– resell or share your account with multiple unrelated users;
– scrape or harvest data in violation of third-party site terms; or
– interfere with the operation of the Service or other users’ access.

We may suspend or terminate accounts that violate these rules.

### 3.2 Intellectual property

The Service, including the software, user interface, branding, and documentation, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own business or personal use, in line with these Terms.

You may not copy, reverse engineer, or create derivative works from the Service except as permitted by applicable law.

## 4. Disclaimers & limitation of liability

The Service is provided on an **“as is”** and **“as available”** basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law:

– our total liability for any claim related to the Service is limited to the amount you have paid for the Service during the **12 months** immediately before the event giving rise to the claim; and
– we are not liable for indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, or business opportunities.

Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply only to the extent permitted by applicable law.

## 5. Governing law & disputes

These Terms are governed by the laws of the jurisdiction where we are established, or where you are habitually resident, if mandatory consumer protection law requires this.

Any dispute arising out of or relating to these Terms or the Service will, where allowed by law, be brought before the competent courts of that jurisdiction.

## 6. Changes to the Service or Terms

We may update the Service and/or these Terms from time to time. If we make significant changes, we will update the “Last updated” date and may provide additional notice (for example, via email or in-app message).

If you continue using the Service after changes take effect, you are deemed to accept the updated Terms. If you do not agree, you should stop using the Service and cancel your subscription.
